iERP terms of service

Terms governing the use of iERP and of the site it is bought from.

These terms govern the use of iERP, the business management software offered by toools, and of the website it is subscribed from. By creating a workspace or using the product you accept what is set out on this page.

Current subscription terms

This is, word for word, the text accepted when subscribing to a workspace from inside the application. It is stored with its version, so there is a record of who accepted what.

Al contratar un workspace de iERP aceptas lo siguiente:

  • La suscripción se renueva automáticamente al final de cada periodo con el método de pago predeterminado del workspace.
  • Puedes cancelar la renovación en cualquier momento desde Plan y facturación; el workspace sigue activo hasta el fin del periodo pagado.
  • Subir de plan tiene efecto inmediato y se factura sólo la diferencia por los días que le queden al periodo en curso; la fecha de renovación no cambia.
  • Bajar de plan (o pasar de anual a mensual) se aplica al final del periodo ya pagado: conservas hasta esa fecha lo contratado y renuevas con las condiciones nuevas. No se emiten abonos ni devoluciones porque no se pierde nada de lo abonado.
  • Tu plan incluye un número de módulos a elegir. Cambiar cuáles son es gratuito e inmediato; los módulos que retires dejan de estar accesibles pero sus datos se conservan.
  • Si no hay método de pago válido, la factura queda pendiente y la suscripción pasa a pago pendiente hasta que la regularices.
  • Archivar un workspace no borra sus datos: se conservan 30 días y puedes descargar una exportación completa y reactivarlo dentro de esa ventana.
  • Eres responsable de los datos que introduzcas y de las cuentas a las que des acceso al workspace.

Entorno de demostración: los cobros de esta instalación son simulados. No se realiza ningún cargo real y sólo se almacenan los últimos cuatro dígitos de la tarjeta para poder identificarla.

Purpose

toools provides a software-as-a-service offering: access to iERP over the internet, with whichever modules each customer enables in their workspace. The program itself is not delivered and its source code is not assigned.

Account and workspace

Using the product requires an account and at least one workspace. Whoever creates it is responsible for the people they grant access to and for the permissions they hand out. Credentials are personal and non-transferable.

Acceptable use

By using iERP you undertake not to:

  • Use it for unlawful activities or to process data you are not entitled to process.
  • Attempt to reach workspaces, data or accounts that are not yours.
  • Deliberately overload, probe or interfere with the service or its infrastructure.
  • Resell access or impersonate another person or organisation.

Availability and changes

The service is provided with all due care, but uninterrupted operation is not guaranteed: there may be downtime for maintenance, incidents or causes beyond our control. The product evolves with each release; when a change materially affects features you already use, we give notice in advance.

Your data

The data you enter in your workspace is yours. toools processes it solely to provide the service, as a data processor, and never for its own purposes nor for transfer to third parties. The detail is in the privacy policy.

Liability

You are responsible for the accuracy and lawfulness of the data you enter and for the decisions you take from the product, including actions run by AI agents under your permissions. toools is liable for providing the service properly under these terms and applicable law.

Term, cancellation and data return

The subscription renews per period and can be cancelled at any time from the workspace itself, with no lock-in and no penalty. On cancellation the workspace stays active until the end of the paid period and you can download a full export of your data. An archived workspace keeps its data for 30 days before deletion.

Changes to these terms

We may update these terms to reflect changes in the product or in the law. Each version is identified, and the version accepted at subscription time is kept attached to your subscription.

Governing law

These terms are governed by Spanish law. For any dispute, the parties submit to the courts designated by the applicable legislation.
